We are a mission-oriented accessibility technology company looking for an experienced Senior Corporate Counsel to join our dynamic team. This position will provide an opportunity to take on impactful work in a fast-paced, startup environment. The ideal candidate will have a minimum of 5 years of combined experience between a reputable law firm and in-house legal departments, preferably within the software and technology sectors. This role requires proficiency in negotiating and drafting a variety of commercial agreements and an understanding of data privacy and security regulations. The individual will play a pivotal role in ensuring legal compliance, supporting strategic partnerships, and providing comprehensive legal guidance across the organization.
This position will report to our Senior Director of Regulatory Affairs and will be based in our Irvine, California office where we have a hybrid work arrangement (Mon/Tue/Thu in-office). Remote applicants will not be considered.

Responsibilities:
- Commercial Contract Negotiations: Draft, review, and negotiate a wide range of commercial contracts, including vendor agreements, non-disclosure agreements, service contracts, and licensing agreements, ensuring alignment with company policies and legal standards.
- Marketing Agreements: Evaluate and provide legal counsel on marketing-related contracts and initiatives, ensuring compliance with advertising laws and intellectual property rights.
- Strategic Partnerships: Collaborate with business teams to structure, negotiate, and formalize strategic partnership agreements that align with company objectives and legal requirements.
- Corporate Governance: Advise on general corporate legal matters, including corporate governance, compliance, and risk management, ensuring adherence to applicable laws and regulations.
- Data Privacy and Security Compliance: Monitor and interpret data privacy and security laws, such as the California Consumer Privacy Act (CCPA), and implement necessary policies and procedures to ensure ongoing compliance. Assess security standards and policies of external vendors to ensure compliance with InnoCaption requirements and regulations.
- External Counsel Coordination: Manage external law firm relationships and workflows.
Requirements:
- J.D. from a nationally recognized law school and active membership in at least one state bar
- 5+ years of combined experience in a law firm and in-house legal department
- Deep knowledge of commercial contract law, corporate governance and privacy laws
- Strong work ethic and extremely high degree of personal responsibility and accountability
- Excellent verbal and written communication skills, with the ability to clearly convey complex legal concepts to non-legal stakeholders
- Must have valid US work authorization
